UK AI Infrastructure Firm Nscale Secures $3.36bn in Pre-IPO Convertible Loan Round

UK-based AI infrastructure company Nscale has successfully raised $3.36bn through a pre-IPO convertible loan note round led by investment firm Third Point. The financing round attracted participation from various new and existing investors, including Nvidia, along with funds managed by Apollo, Hudson Bay Capital, Citadel, 8090 Industries, and the Abu Dhabi Investment Council. The convertible loan notes offer an initial $2.36bn at closing, supplemented by a $1bn commitment from Nvidia, which is expected to be funded in mid-November 2026. These notes will automatically convert into ordinary shares, or non-voting shares for Nvidia, upon the completion of Nscale's IPO. Nscale founder and CEO Josh Payne stated that the milestone will help accelerate the scaling of its full-stack AI infrastructure to meet unprecedented global demand. Goldman Sachs & Co. served as the placement agent for the transaction. Previously, Nscale secured a six-year contract with Anthropic last month to rent approximately $45bn in AI cloud computing capacity.
